These Terms of Service ("Terms") govern your use of the Alpine Business Exchange platform operated by Alpine Business Exchange SA ("Alpine Business", "we", or "us"), a company registered in Switzerland.
1. User Accounts
To access certain features of the platform, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate and current information and to notify us immediately of any unauthorized access.
2. Listing Data
Business listings displayed on the platform are aggregated from publicly available sources, including business-for-sale platforms, commercial registries (e.g., ZEFIX), and broker websites. We do not guarantee the accuracy, completeness, or timeliness of listing data. Users should independently verify all information before making investment decisions.
3. Confidentiality & NDA
Access to confidential business information (seller contact details, financial documents, CIMs) requires signing a Non-Disclosure Agreement (NDA) through our platform. By signing an NDA, you agree to:
- Keep all disclosed information strictly confidential.
- Use the information solely for evaluating the acquisition opportunity.
- Not contact the business, its employees, or customers without seller consent.
- Return or destroy confidential materials upon request.
4. Introduction Fee
Alpine Business Exchange charges a 3% introduction fee on the final transaction value for deals that are successfully closed through introductions made on our platform. This fee applies when:
- A buyer was first introduced to a business opportunity through our platform.
- A transaction (asset sale, share deal, or merger) is completed within 24 months of the introduction.
The fee is payable by the buyer upon closing. Detailed fee terms are provided in the Introduction Agreement signed before accessing confidential deal materials.
5. AI-Powered Features
Our platform uses artificial intelligence for deal scoring, business valuations, and market analysis. These outputs are for informational purposes only and do not constitute financial, legal, or investment advice. Users should engage qualified professionals for due diligence and valuation.
6. Limitation of Liability
To the maximum extent permitted by Swiss law, Alpine Business Exchange SA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to:
- Inaccuracies in listing data or AI-generated analyses.
- Losses resulting from investment decisions based on platform information.
- Unauthorized access to your account.
- Interruption or unavailability of the platform.
Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
7. Governing Law & Jurisdiction
These Terms are governed by the laws of Switzerland. Any disputes arising from or relating to these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
8. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
